Position Overview:

We are seeking a highly skilled and experienced Deputy General Counsel to join our legal team. This senior position will serve as the right hand to the General Counsel and Chief Legal Officer, supporting all aspects of the company's legal affairs, corporate governance, and compliance functions. The ideal candidate is a strategic thinker with strong business acumen, sound judgment, and the ability to manage complex cross-border legal matters in a dynamic, public company environment.

Key Responsibilities:

  • Serve as a trusted advisor and right-hand to the General Counsel and Chief Legal Officer on day-to-day corporate, securities and commercial legal matters.
  • Advise management and business units on a broad range of legal and strategic matters.
  • Handle commercial, corporate, and securities law issues, including contract drafting and negotiation.
  • Support the company's public company reporting obligations under U.S. securities laws and Nasdaq requirements (e.g., 20-F, F-1, 6-K, proxy materials, insider trading compliance).
  • Advise on Israeli corporate law matters, including board and shareholder governance, corporate actions, and regulatory filings.
  • Assist with mergers and acquisitions, joint ventures, financing rounds and other strategic transactions.
  • Oversee and manage external counsel relationships in Israel and abroad.
  • Provide legal guidance on employment, compliance, data privacy, and general corporate matters.
  • Develop and maintain company policies, compliance programs, and internal controls.

Requirements:

  • Law degree (LL.M. or J.D. preferred).
  • Licensed to practice law in Israel; dual qualification (licensed to practice in the U.S.) and/or significant U.S. securities experience strongly preferred.
  • 9+ years of relevant legal experience (corporate, commercial and securities), including experience at a leading law firm and/or as in-house counsel in a publicly traded company.
  • Deep knowledge of Israeli corporate and securities law and U.S. SEC and Nasdaq regulations applicable to foreign private issuers.
  • Strong background in commercial contracts, corporate governance, and public company compliance.
  • Excellent legal drafting and communication skills in both English and Hebrew.
  • Proven ability to manage multiple priorities and work collaboratively with senior management.
  • A proactive, hands-on, and business-oriented approach with high ethical standards and sound judgment.
