תחומי אחריות עיקריים:

  • אחריות על תחום הממשל התאגידי בחברה, לרבות יישום נהלים ומדיניות פנים.
  • ייעוץ משפטי שוטף בדיני חברות וניירות ערך, כולל עסקאות בעלי עניין, מדיניות תגמול ונושאי אסיפה כללית.
  • ריכוז העבודה השוטפת של האסיפה הכללית, דירקטוריון החברה וועדותיו - כולל גיבוש סדרי יום, זימונים, הכנת חומרי רקע ומעקב אחר ביצוע החלטות.
  • השתתפות בישיבות הדירקטוריון וועדותיו וכתיבת פרוטוקולים.
  • טיפול בנושאים הקשורים לדירקטורים ונושאי משרה והטמעת תכניות עבודה שנתיות של הדירקטוריון וועדותיו.
  • ציות ורגולציה - אחריות על תוכניות אכיפה של החברה בנושאי ניירות ערך, דיני תחרות, פרטיות, ציות וסנקציות.
  • סיוע בהכנת דוחות כספיים תקופתיים ורבעוניים והגשת דיווחים תקופתיים ומיידיים לרשות ניירות ערך.
  • הטמעת כללי ממשל תאגידי, כולל כתיבת מסמכי מדיניות, נהלים ותהליכי עבודה.
  • קשר עם רגולטורים וגורמי חוץ, כגון רשם החברות, רשות ניירות ערך והבורסה.
  • מעורבות בפעילות מימון של החברה וליווי החברה בתחום ESG.

דרישות:

  • תואר ראשון במשפטים ותעודת הסמכה כעו"ד .
  • ניסיון במחלקת שוק הון במשרד מוביל או בחברה ציבורית.
  • ידע והיכרות עם
    דיני ניירות ערך ודיווח עצמאי במערכות הבורסה
    .
  • יכולת עבודה עצמאית, ניהול משימות מרובות ועבודה מול גורמים בכירים.
